Welcome to B. Carter Agency (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, subscription services, digital products, and consulting offerings. By accessing or using any part of our services, you agree to be legally bound by these Terms.
1. Services Provided
B. Carter Agency offers business automation, operations consulting, digital marketing systems, CRM setup, client onboarding funnels, project management workflows, and related digital services. Specific deliverables are outlined in your individual service agreement or subscription tier.
2. Client Responsibilities
Clients agree to:
Provide accurate, timely information required for project success
Collaborate in good faith and approve key deliverables as needed
Maintain communication via designated channels (e.g., Slack, email)
Adhere to deadlines for feedback, approvals, and content submissions
Ensure payment is remitted on time according to agreed terms
Delays in communication or approvals may result in project timeline adjustments.
3. Payment Terms
All fees must be paid in advance unless otherwise specified
Monthly subscriptions auto-renew unless cancelled in accordance with Section 6
Late payments may incur a 3% late fee per month on the outstanding balance
If payment fails or is not remitted by the due date, services will be suspended immediately until payment is received
We reserve the right to withhold access to deliverables or tools until payment is confirmed.
4. Refund & Subscription Policy
All monthly subscriptions are prepaid and non-refundable
Your access to services will remain active for 30 days from your last payment date
Missed or failed payments do not trigger refunds but will result in service suspension
Cancellations must be submitted at least 14 days before your next billing date
Unused hours or features may roll over for one month and will expire thereafter
By purchasing a subscription, you acknowledge and accept these terms.
5. Chargebacks
To prevent misuse and protect our business, we enforce a strict no-chargeback policy. If you have a concern about billing or service delivery, you agree to contact us directly at [email protected] to resolve the issue.
Initiating a chargeback instead of seeking resolution directly is a violation of these Terms and may result in permanent suspension of your account and services.
Any chargeback filed without contacting us first will be contested to the fullest extent, including documentation of work completed, service logs, and email communication.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information shared throughout the engagement.
Subcontractors engaged by B. Carter Agency are also bound by strict confidentiality agreements
Client information will not be disclosed to third parties without consent, except as required by law
7. Intellectual Property
All frameworks, templates, strategies, and systems created by B. Carter Agency remain our intellectual property
Clients receive usage rights to completed assets only upon full payment
You may not reproduce, sell, or share our tools, workflows, or methodologies without express written consent
8. Limitation of Liability
To the fullest extent permitted by law, B. Carter Agency shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our services.
Our total liability shall not exceed the amount paid by the client for services within the last 90 days preceding the claim.
9. Termination of Services
We reserve the right to suspend or terminate services if:
Payments are missed
Terms are violated
Abuse or unethical behavior occurs
Clients may also terminate services, provided any contractual minimums are met. No refunds will be issued for terminated subscriptions or services unless otherwise specified in writing.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Georgia, USA. Any disputes shall be resolved through binding arbitration or litigation in Gwinnett County, Georgia.
11. Amendments
We may update these Terms from time to time. Significant updates will be announced via email or posted on our website. Continued use of our services after changes are posted constitutes acceptance.
